These terms govern all sales, services, and interactions with RudCo, whether conducted online, via email, or through other communication channels. RudCo specializes in the distribution of industrial raw materials, including but not limited to abrasives, equipment, aggregates, ingots, and master alloys. We aim to provide high-quality materials tailored to meet the diverse needs of manufacturing and industrial sectors. All product descriptions, specifications, and availability are subject to change without notice to reflect market conditions and technological advancements.

3. Quotations and Pricing
3.1 Validity of Quotes: All quotes provided via email or other means are valid for 30 days unless otherwise specified. Quotes are subject to availability at the time of acceptance.
3.2 Pricing: Prices do not include taxes, duties, shipping, or handling fees unless explicitly stated. RudCo reserves the right to adjust prices prior to order acceptance due to changes in raw material costs, supply chain factors, or other unforeseen circumstances.
3.3 Acceptance of Quotes: By accepting a quote or placing an order, the customer agrees to the terms outlined in the quote and these Terms and Conditions. RudCo reserves the right to refuse orders at its discretion.

4. Payment Terms
4.1 Payment Methods: We accept bank transfers, credit cards, and other methods as specified at the time of sale. Secure payment processing is a priority to protect customer data.
4.2 Terms: Payment terms are "Net 30" from the invoice date unless agreed otherwise in writing. Early payment discounts may be available upon prior arrangement.
4.3 Late Payments: Late payments are subject to a 3.5% monthly finance charge or the maximum allowed by law, whichever is less. Customers are encouraged to communicate proactively regarding payment delays to avoid penalties.

5. Delivery and Shipping
5.1 Shipping Terms: All deliveries are made FOB (Free on Board) shipping point unless otherwise specified. Title and risk of loss pass to the customer upon shipment.
5.2 Shipping Costs: The customer is responsible for shipping costs and any applicable insurance. Shipping options and rates will be discussed at the time of order placement.
5.3 Delivery Delays: RudCo is not liable for delays caused by factors beyond our control, including but not limited to natural disasters, carrier disruptions, or supply chain issues. We will promptly notify customers of any significant delays and work to mitigate the impact.

6. Returns and Refunds
6.1 Return Policy: Returns must be authorized in advance by RudCo. Unauthorized returns will not be accepted and may be returned to the sender at their expense.
6.2 Time Limit: Returns must be requested within 15 days of delivery. This ensures timely resolution of any issues.
6.3 Restocking Fees: Returns may be subject to a restocking fee of up to 20% of the product’s value to cover inspection and handling costs.

6.4 Refunds: Refunds will be issued only for defective products or as otherwise required by law. Refund processing times may vary depending on the method of payment.

7. Warranty and Liability
7.1 Product Warranty: All products are sold "as-is" unless expressly stated otherwise. Manufacturer warranties, if applicable, are passed on to the customer.

7.2 Liability: RudCo’s liability is limited to the replacement of defective products or the refund of the purchase price. RudCo is not liable for indirect, incidental, or consequential damages, including but not limited to lost profits or production downtime.

8. Force Majeure
RudCo shall not be held liable for failure to fulfill contractual obligations due to events beyond its control, including but not limited to natural disasters, government actions, labor disputes, and supply chain disruptions. In such cases, both parties agree to work in good faith to resolve the situation.

9. Export Compliance
Customers are responsible for compliance with all applicable export and import regulations. RudCo is not liable for shipments delayed or prohibited by customs or regulatory authorities. Documentation required for customs clearance will be provided upon request.

10. Governing Law and Dispute Resolution
These Terms and Conditions are governed by the laws of the State of Ohio. Any disputes arising under these terms shall be resolved exclusively in the courts located in Ohio. Both parties agree to attempt mediation or arbitration before pursuing formal litigation.

11. Amendments
RudCo reserves the right to amend these Terms and Conditions at any time. Changes will be posted on our website and take effect immediately unless otherwise specified. Customers are encouraged to review these terms periodically.
